These Terms and Conditions govern your access to and use of Pingotel.com and any related products, services, software, websites, applications, and tools provided by Pingotel.

By accessing or using Pingotel, you agree to these Terms. If you do not agree, you must not use the Service.

1. Definitions

In these Terms:

“Pingotel,” “we,” “us,” or “our” means [Insert legal company name], the operator of Pingotel.com.

“Service” means the Pingotel website, software platform, booking tools, property management tools, payment-related features, integrations, support, and any related services.

“Customer,” “you,” or “your” means the business, organization, or individual using the Service.

“Property” means a hotel, guesthouse, campsite, glamping site, rental unit, parking space, coworking space, rental product, or other bookable inventory managed through Pingotel.

“Guest” means an end customer who makes or manages a booking with a Customer through Pingotel.

“Booking” means a reservation, rental, order, appointment, or similar transaction created or managed through the Service.

2. About Pingotel

Pingotel provides software tools that help Customers manage bookings, availability, reservations, guest communication, payments, and related operational workflows.

Pingotel is a software provider. Unless explicitly stated otherwise, Pingotel is not a hotel, accommodation provider, travel agency, payment institution, insurer, landlord, property operator, or party to any booking agreement between a Customer and a Guest.

3. Eligibility

You may use the Service only if you:

  1. are at least 18 years old;
  2. have legal authority to enter into these Terms;
  3. use the Service for lawful business or professional purposes; and
  4. comply with these Terms and all applicable laws.

If you use Pingotel on behalf of a company or organization, you confirm that you are authorized to bind that company or organization to these Terms.

4. Account Registration

To use certain features, you may need to create an account.

You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately if you suspect unauthorized access to your account.

We are not liable for losses caused by unauthorized account use unless caused by our own proven negligence or willful misconduct.

5. Customer Responsibilities

You are responsible for:

  1. the accuracy of all property, pricing, availability, tax, fee, and booking information entered into Pingotel;
  2. honoring confirmed bookings unless you have a lawful and contractually valid reason not to;
  3. setting your own cancellation, refund, deposit, damage, check-in, check-out, rental, and guest policies;
  4. complying with applicable laws, including consumer protection, tourism, accommodation, tax, data protection, accessibility, safety, and local licensing rules;
  5. obtaining all necessary permits, licenses, registrations, and insurance;
  6. responding to Guests and managing Guest disputes;
  7. ensuring your staff and authorized users comply with these Terms.

Pingotel is not responsible for incorrect information entered by you, your employees, your contractors, your connected systems, or third-party integrations.

6. Guest Terms and Booking Policies

Customers are responsible for providing their own Guest-facing terms, including cancellation policies, house rules, payment terms, damage policies, privacy notices, and other booking conditions.

Pingotel may provide templates, default wording, or tools to help Customers create policies, but these are for convenience only and do not constitute legal advice.

The contract for a Booking is between the Customer and the Guest, unless explicitly stated otherwise.

7. Payments

Pingotel may allow Customers to accept or manage payments through third-party payment processors.

Payment processing services are provided by third-party providers and may be subject to their own terms, fees, restrictions, and compliance requirements.

You are responsible for:

  1. setting correct prices, taxes, deposits, fees, refunds, and payment schedules;
  2. complying with payment, tax, invoicing, and accounting obligations;
  3. handling chargebacks, disputes, refunds, failed payments, and fraud issues related to your Guests;
  4. ensuring your use of payment features is lawful.

Pingotel is not responsible for payment processor outages, declined transactions, chargebacks, delayed payouts, or payment errors caused by third-party providers, incorrect Customer settings, or Guest actions.

8. Fees and Subscriptions

Some parts of the Service may require payment of subscription fees, transaction fees, setup fees, usage fees, or other charges.

Fees, billing periods, renewal terms, and payment methods will be shown on the website, in an order form, invoice, or separate agreement.

Unless otherwise stated:

  1. subscription fees are billed in advance;
  2. fees are non-refundable except where required by law or expressly stated in writing;
  3. subscriptions renew automatically until cancelled;
  4. you authorize us or our payment processor to charge the applicable fees;
  5. late or failed payments may result in suspension or termination of the Service.

We may change our fees by giving reasonable notice. Fee changes will usually apply from the next billing period.

9. Free Trials and Beta Features

Pingotel may offer free trials, early-access tools, experimental features, or beta services.

These may be changed, limited, suspended, or discontinued at any time. Beta features are provided “as is” and may contain bugs, errors, incomplete functionality, or data issues.

You should not rely on beta features for critical business operations unless we explicitly agree otherwise in writing.

10. Acceptable Use

You must not use Pingotel to:

  1. violate any law or regulation;
  2. mislead Guests or publish false, inaccurate, or deceptive information;
  3. offer illegal, unsafe, fraudulent, or prohibited services;
  4. infringe intellectual property, privacy, or other rights;
  5. upload malware, harmful code, or destructive content;
  6. interfere with the security or performance of the Service;
  7. reverse engineer, copy, scrape, or misuse the Service;
  8. attempt unauthorized access to systems, accounts, or data;
  9. use the Service for spam, phishing, fraud, or abusive communication;
  10. resell, sublicense, or commercially exploit the Service without permission.

We may suspend or terminate accounts that violate this section.

11. Content and Data

You retain ownership of the content and data you upload to Pingotel, including property descriptions, images, booking information, Guest records, pricing, and availability data.

You grant Pingotel a limited right to process, store, transmit, display, and use this content only as necessary to provide, maintain, protect, and improve the Service.

You confirm that you have all rights and permissions needed to upload and use your content through Pingotel.

We may remove content that we reasonably believe violates these Terms, applicable law, third-party rights, or the integrity of the Service.

12. Guest Data and Privacy

Each party must comply with applicable data protection and privacy laws.

Customers are responsible for providing appropriate privacy notices to Guests and for ensuring they have a lawful basis to collect and process Guest data.

Pingotel will process personal data as described in its Privacy Policy and, where applicable, a separate Data Processing Agreement.

You must not upload sensitive personal data unless it is necessary, lawful, and supported by appropriate safeguards.

13. Integrations and Third-Party Services

Pingotel may integrate with third-party services, including payment processors, channel managers, calendars, email providers, accounting tools, analytics platforms, messaging tools, and other software.

Third-party services are not controlled by Pingotel. Your use of them may be subject to separate terms and fees.

We are not responsible for third-party services, including their availability, security, accuracy, errors, delays, pricing, or data handling.

You are responsible for reviewing and accepting any third-party terms before connecting them to Pingotel.

14. Availability and Service Changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted or error-free operation.

The Service may be unavailable due to maintenance, updates, technical issues, security incidents, third-party failures, or events outside our control.

We may modify, improve, suspend, or discontinue parts of the Service at any time. Where practical, we will provide reasonable notice of material changes that negatively affect paying Customers.

15. Support

Pingotel may provide customer support through email, chat, help center materials, or other channels.

Support availability, response times, and scope may depend on your subscription plan or separate agreement.

We do not guarantee that every issue can be resolved, especially where the issue is caused by third-party systems, incorrect settings, unsupported use cases, or external factors.

16. Intellectual Property

Pingotel and its licensors own all rights, title, and interest in the Service, including software, design, branding, trademarks, logos, technology, documentation, databases, and other intellectual property.

These Terms do not transfer any ownership rights to you.

You may use Pingotel only as permitted under these Terms.

You must not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service unless expressly permitted by law or by written agreement.

17. Feedback

If you provide feedback, suggestions, ideas, or feature requests, you grant Pingotel a worldwide, royalty-free, perpetual right to use them without restriction or compensation.

We are not required to implement feedback or treat it as confidential.

18. Confidentiality

Each party may receive confidential information from the other.

Confidential information must be protected with reasonable care and used only for purposes related to the Service.

Confidential information does not include information that is public, already known, independently developed, or lawfully received from another source.

19. Suspension

We may suspend your access to the Service if:

  1. you fail to pay fees when due;
  2. you violate these Terms;
  3. your use creates security, legal, technical, reputational, or operational risk;
  4. we suspect fraud, abuse, or unauthorized access;
  5. required by law or a third-party provider.

Where reasonable, we will notify you and give you an opportunity to fix the issue.

20. Termination

You may stop using the Service or cancel your subscription according to your plan terms.

We may terminate your account if you materially breach these Terms, fail to pay fees, misuse the Service, or create legal or operational risk.

Upon termination:

  1. your right to use the Service ends;
  2. you remain responsible for unpaid fees;
  3. we may delete or restrict access to your account data after a reasonable period, unless legally required to retain it;
  4. provisions intended to survive termination will continue to apply.

You are responsible for exporting your data before termination where export functionality is available.

21. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, Pingotel disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and error-free operation.

Pingotel does not guarantee that:

  1. the Service will meet all your requirements;
  2. bookings will be error-free;
  3. Guests will pay, arrive, comply with your policies, or avoid causing damage;
  4. third-party integrations will always work;
  5. tax, pricing, or legal settings entered by you are correct;
  6. the Service will be uninterrupted, secure, or free from defects.

22. Limitation of Liability

To the maximum extent permitted by law, Pingotel will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, bookings, goodwill, data, business opportunity, or business interruption.

To the maximum extent permitted by law, Pingotel’s total liability for any claim related to the Service will not exceed the amount you paid to Pingotel in the three months before the event giving rise to the claim, or EUR 100 if you have not paid any fees.

Nothing in these Terms excludes liability that cannot legally be excluded, such as liability for fraud, intentional misconduct, or other liability that applicable law does not allow to be limited.

23. Indemnification

You agree to indemnify and hold Pingotel harmless from claims, damages, losses, liabilities, costs, and expenses arising from:

  1. your use of the Service;
  2. your Properties, Bookings, Guests, products, or services;
  3. your breach of these Terms;
  4. your violation of law;
  5. your content or data;
  6. disputes between you and Guests;
  7. tax, licensing, refund, cancellation, safety, or consumer protection issues related to your business.

24. Taxes

You are responsible for determining, collecting, reporting, and paying any taxes, duties, tourist taxes, VAT, sales taxes, occupancy taxes, or similar charges related to your business and Bookings.

Pingotel may provide tools to help configure taxes, but you remain responsible for ensuring they are accurate and compliant.

25. Force Majeure

Pingotel is not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, power failures, government action, epidemics, cyberattacks, third-party service failures, or other force majeure events.

26. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will take reasonable steps to notify Customers, such as by email, in-app notice, or posting on the website.

Your continued use of the Service after the updated Terms become effective means you accept the changes.
